PLEASE READ THIS DOCUMENT CAREFULLY!

By accepting delivery of any product delivered from AICMICRO ("AICMICRO"), you ("Customer") agree to be bound by the terms and conditions listed below. You and AICMICRO agree that the following terms and conditions are the exclusive terms governing the sales transaction between Customer and AICMICRO. Any attempt to alter, supplement, modify or amend these terms and conditions by the Customer will be considered a material alteration of this agreement and, therefore, are null and void. In addition, these terms and conditions are subject to change at any time, without prior written notice. Therefore, please check these terms and conditions carefully each time you place an order with or accept delivery of any goods from AICMICRO.

Warranty Information:

AICMICRO offers a 15 days replacement or refund on all purchases except:

• 7-days replacement on all OEM CPU products from the purchase days.

• No refund for all memory products (exchange only).

• Due to manufacturer's policies, AICMICRO cannot accept refunds or returns on Computer Chassis (Cases), All Retail Box Processors, Notebooks, Notebook Batteries, Blank Media & Software. Defective merchandise can been returned to the manufacturer directly. 

However, to take advantage of AICMICRO's return guarantee policy, Customer agrees to comply with AICMICRO's Product Return Procedure a set forth below. Any breach of AICMICRO's Return Policy Procedure will result in the loss of AICMICRO's replacement/return guarantee. Furthermore, all return shipments not in compliance with these instructions will be rejected.

Return Merchandise Authorization (RMA)

• All Claims for shortage, manufacturers' defects, shipment error, incompatibility, or incorrectly ordered merchandise must be made within seven (7) calendar days from the invoice date.

• If merchandise arrives damaged make sure it is noted on the carrier's delivery record in order to file a damage claim. Save the merchandise in the original box and notify the carrier immediately to arrange for inspection of the damaged package.

• Please fill out the RMA Form to request an RMA number. AICMICRO will not accept returns without an RMA number which is valid for 15 days only. All return products must be received by AICMICRO within the period stated, otherwise, the RMA number will be cancelled and will not be extended or reissued.

• Please display the RMA number outside the return package and a copy of the invoice must be accompanied all returns.

• All items except otherwise mentioned within 7th to 15th days, we offer customer return all OEM or Bare Drive or Bare Card merchandise back for credit or exchange. All non-defective returns will be assessed a 15% restocking fee. Original Shipping and Labor Charges are non-refundable. No refund after 15 days.

• Customer is solely responsible for shipping any returned product to AICMICRO. Customer agrees to use only reputable carries capable of providing proof of delivery and insurance for the entire value of the shipment. Customer agrees to bear all shipping charges and all risk of loss for the return product during shipment.

• AICMICRO reserves the option to accept or reject non-defective returns. Customer agrees that all returned products will be 100% complete, in re-saleable condition, and will include the original packaging material, manuals, blank warranty cards, and other accessories provided by the manufacturer. If any component of the returned product is missing, AICMICRO's Return Procedure will be breached and AICMICRO will reject the entire return or may choose to impose an additional 25% restocking fee against for the customer for the replacement of  the missing component.

• Merchandise is subject to test before replacement will be issued. AICMICRO sends defective merchandise to the manufacturer, which takes about 15 to 30 days in most cases to process. As soon as we receive the repaired product, we will ship it out immediately. We reserve the right to return to you any non-defective merchandise or any merchandise that does not match the invoice. You will be responsible for all related charges such as shipping, insurance, testing and handling fee on this matter.

• AICMICRO reserves the option to require that defective merchandise returns be accompanied by a test report from an independent laboratory in order to receive a refund, credit, or replacement on merchandise.

• AICMICRO reserves the right to issue credits or refunds in exchange for returned merchandise, or to replace merchandise with new or repaired, used, or reconditioned parts.

• All credits will be issued within 30 business days once we confirm that this is the only solution to solve your return.

Product Warranty Information

• All memory modules have a lifetime warranty on Manufacturers' defects unless otherwise noted on the invoice or emails.

• All CPUs and memory Modules have a "replacement only" warranty and must be returned for exchange within the warranty period assigned to each brand and type of CPU.

• All OEM products (Include Bare Drive and Bare Card) except otherwise mentioned, comes with 1 year limited warranty.

• Retail Box or Manufacturer Warranty products, all warranties will be provided by the manufacturer after 15 days.

• All software warranties regarding compatibility with other hardware or software products, merchantability and fitness for a particular purpose, or the ability of a product to meet the customers' needs, are granted solely by the publisher or manufacturer of the products.

• No warranty by AICMICRO shall apply to any merchandise, which have been modified or damaged by customer. Merchandise that is defective due to misuse, neglect, or improper installation is not covered under the warranty. We are not responsible for any damages incurred to customer's equipment or data resulting from an improper installation.

• All warranties begin from the date of invoice.

• No employee, agent or dealer of AICMICRO is authorized to make any modification, extension, or addition to this warranty.

• We are not responsible for any typing mistake.

Limitation of Liability

In all circumstances, AICMICRO's maximum liability is limited to the purchase price of the products sold. AICMICRO shall not, under any circumstances, be liable upon a claim or action in contract, tort, indemnity or contribution, or other claims relating to the products it sells which exceeds this liability limit. AICMICRO shall not liable for third party claims for damages against the customer, or for malfunction, delays, interruption of service, loss of business, loss or damage to exemplary damages, whether or not AICMICRO is apprised of the possibility of such claims or damages.

General Terms and Conditions

Payment Terms: An order is not binding upon AICMCIRO until it is accepted; AICMICRO must receive payment before it will accept an order. Payment for product(s) ordered is due prior to shipment. Customer can make payment by credit card, wire transfer, or some other method prearranged with AICMICRO. You agree to pay the amount(s) due as specified on the invoice, and you agree to pay interest on all past-due sums at a rate of 1.5% per month or the highest rate allowed by law, whichever is greater.

Price Protection: Our website is updated frequently to ensure that you'll view the latest products and pricing available, and that you receive all of the latest savings. At the time you make a purchase you agree to the listed price. We are unable to make a price adjustment if the price has changed, after an order has shipped. However, if you notify AICMICRO prior to the shipment of your order, we would be happy to make the price adjustment for you. Unfortunately, AICMICRO does not offer price matching for competitors.

No Responsibility To Sell Mispriced Products Or Services. AICMICRO shall have the right to refuse or cancel any order placed for products and/or services listed at an incorrect price, or containing any other incorrect information or typographical errors.

Governing Law and Jurisdiction:
Any dispute arising out of or related to these Terms and Conditions or the sales transaction between AICMICRO and Customer shall be governed by the laws of the State of California, without regard to its conflicts of law rules. Specifically, the validity, interpretation, and performance of this agreement shall not be governed by the United Nations Convention on the International Sale of Goods. AICMICRO and Customer consent to the exclusive jurisdiction and the venue of the State Courts of the State of California, Los Angeles County, to resolve any dispute between them related hereto, and the parities waive all rights to contest this exclusive jurisdiction and venue of such Courts. Finally, the Customer also agree not to bring any legal action, based upon any legal theory including contract, tort, equity or otherwise, against AICMCIRO that is more than one year after the date of the applicable invoice.

Severability: f any provision contained in this agreement is or becomes invalid, illegal, or unenforceable in whole or in part, such invalidity, illegality, or unenforceability shall not affect the remaining provisions and portions of this agreement, and the invalid, illegal, or unenforceable provision shall be deemed modified so as to have the most similar result that is valid and enforceable under applicable California law.

Waiver: The failure of either party to require performance by the other party of any provision of this agreement shall not affect in any way the first party's right to require such performance at any time thereafter. Any waiver by either party of a breach of any provision in this agreement shall not be taken or held by the other party to be a continuing waiver of that provision unless such waiver is made in writing.

Entire Agreement: These terms and conditions, together with the AICMCIRO's invoice respecting the products ordered by Customer, are the complete and exclusive agreement between AICMCIRO and Customer, and they supersede all prior or contemporaneous proposals, oral or written, understandings, representations, conditions, warranties, and all other communications between AICMICRO and Customer relating to the subject products. This agreement may not be explained or supplemented by any prior course of dealings or trade by custom or usage.

AICMICRO is not responsible for typographical errors. All prices and specifications are subject to change without notice.
